1. Introduction
This website (the "Site") is provided by Palominito Markets Ltd. ("Company," "we," "us," or "our") for informational and software distribution purposes. The Site provides documentation, educational materials, and access to open-source tools that enable users to interact with blockchain-based smart contracts (the "Protocol"). By accessing or using the Site, you agree to these Terms of Service ("Terms").
2. Nature of the Protocol
The Protocol consists of autonomous smart contracts deployed on a public blockchain. These smart contracts operate according to predefined rules, are publicly accessible, and may be interacted with directly by users without involvement of the Company. The Company does not own or control the blockchain, does not control user interactions with the Protocol, and does not operate or manage markets created through the Protocol.
3. No Custody or Intermediation
The Company does not custody user funds, does not execute trades on behalf of users, does not act as an intermediary, broker, or agent, and does not create, list, or manage markets. All interactions occur directly between users and smart contracts.
4. Access to the Site
The Site provides documentation, developer tools (including CLI software), and educational materials. The Site is not required to access the Protocol. Users may interact with the Protocol through independently developed tools, third-party interfaces, or direct blockchain transactions.
5. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction. You represent that you are not subject to sanctions or trade restrictions under applicable law.
6. Fees
The Protocol may include mechanisms that apply fees to certain transactions. Such fees are determined by smart contract logic, are applied automatically, and are not individually negotiated or controlled by the Company. The Company does not directly custody user funds.
7. User Responsibilities
You are solely responsible for:
- Complying with all applicable laws.
- Evaluating risks of blockchain transactions.
- Securing your private keys and wallets.
- Understanding that blockchain transactions are irreversible.
The Company does not provide financial, legal, or investment advice.
8. Restricted Use
The Site is not intended for use where such use would violate applicable laws. By using the Site, you represent that you are not subject to sanctions or trade restrictions under applicable law, and that your use complies with all laws applicable to you. The Company may implement access restrictions but does not guarantee their effectiveness.
9. Risks
Using the Protocol involves significant risks including but not limited to:
- Smart contract vulnerabilities: The Protocol smart contracts may contain bugs or errors that could result in loss of funds.
- Market risk: You may lose your entire position.
- Oracle risk: External data sources may fail or be manipulated.
- Network risk: Blockchain network congestion or failures.
- Stablecoin depegging: Stablecoins used in the Protocol may lose their peg.
- Regulatory changes: The regulatory environment is evolving and may affect your ability to use the Protocol.
You should not interact with the Protocol with funds you cannot afford to lose.
10. Prohibited Activities
You agree not to:
- Manipulate markets or engage in wash trading.
- Exploit software vulnerabilities for personal gain.
- Circumvent geographic or access restrictions.
- Use automated tools to disrupt the Protocol or harm other users.
- Use the Site or Protocol for any unlawful purpose.
11. Intellectual Property
The Protocol smart contracts are open source under the Business Source License 1.1. The Site interface, branding, and design are proprietary. The underlying protocol technology is developed by Palominito Technologies LLC. You may not reproduce, distribute, or create derivative works of the Site without permission.
12. No Guarantees
The Site and any software are provided "as is" and "as available." The Company makes no guarantees regarding availability or uptime, accuracy of information, performance of the Protocol, or outcomes of any transactions.
13. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for losses arising from use of the Protocol, smart contract vulnerabilities, blockchain failures or congestion, or third-party actions. In no event shall the aggregate liability of the Company exceed one hundred U.S. dollars ($100).
14. Indemnification
You agree to indemnify and hold harmless the Company, Palominito Technologies LLC, and their respective officers, directors, and employees from any claims arising from your use of the Site or Protocol, your violation of these Terms, or your violation of any applicable law.
15. Dispute Resolution
These Terms shall be governed by the laws of the Republic of Seychelles. Any dispute shall be resolved through binding arbitration on an individual basis. Class actions and class arbitrations are not permitted. Before initiating arbitration, you agree to attempt informal resolution by contacting legal@seesaw.markets for a period of 30 days.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding use of the Site.
18. Modifications
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site after changes constitutes acceptance of the modified Terms.
