1. Introduction
These Terms of Use ("Terms") govern your access to and use of seesaw.markets, related web and mobile applications, widgets, embeddable interfaces, APIs, command-line tools, software development kits, documentation, and other online services that link to these Terms (collectively, the "Services"). The Services are provided by Palominito Technologies LLC ("Company," "we," "us," or "our"), which also develops the underlying protocol technology. By accessing or using the Services, you agree to these Terms.
2. The Services and Protocol
The Services provide information, software interfaces, and tools that may help users view and interact with blockchain-based prediction market smart contracts (the "Protocol"). The Protocol runs on public blockchain networks according to smart contract logic. The Company does not own or control public blockchains, validators, wallets, or third-party infrastructure, and blockchain transactions may be irreversible.
3. No Custody, Brokerage, or Advice
The Company does not custody user funds, execute trades on behalf of users, act as a broker, dealer, investment adviser, fiduciary, exchange, clearing agency, or agent, or provide financial, legal, tax, trading, or investment advice. You are solely responsible for your wallet, private keys, transaction approvals, trading decisions, tax obligations, and compliance with laws that apply to you.
4. Accounts, Wallets, and Access
You may need a compatible wallet, supported tokens, and network access to use certain features. You are responsible for securing your wallet and devices. We may suspend, restrict, geoblock, or discontinue access to any part of the Services at any time, including to comply with law, protect the Services, respond to security risks, or address suspected violations of these Terms.
5. Eligibility
You must be at least 18 years old and the age of majority in your jurisdiction. You may not use the Services if you are barred from doing so under applicable law, are subject to sanctions or trade restrictions, are located in a jurisdiction where your use would be unlawful, or are using the Services on behalf of a prohibited person.
6. Fees, Tokens, and Transactions
The Protocol and third-party services may impose fees, network costs, spreads, slippage, or other charges. Fees may be set by smart contract logic, network conditions, governance parameters, or third-party providers. You are responsible for reviewing transaction details before signing. Protocol fees currently include taker fees charged on order execution, portions of which are allocated by smart contract logic among protocol treasury accounts, market creators, and referrers; fee parameters may change over time and apply prospectively to future transactions. The Company does not guarantee transaction execution, settlement, pricing, liquidity, market availability, or token value.
7. User Responsibilities
You are solely responsible for:
- Complying with all applicable laws.
- Evaluating risks of blockchain transactions.
- Securing your private keys and wallets.
- Understanding that blockchain transactions are irreversible.
You should independently evaluate all information and consult your own advisers where appropriate.
8. Restricted Use
The Services are not intended for use where access to or use of prediction markets, event contracts, digital assets, or blockchain applications would violate applicable law. You may not use the Services to circumvent geographic, sanctions, compliance, or access restrictions. We do not represent that the Services are appropriate, lawful, or available in any particular jurisdiction.
9. Risks
Using the Protocol involves significant risks including but not limited to:
- Smart contract vulnerabilities: The Protocol smart contracts may contain bugs or errors that could result in loss of funds.
- Market risk: Prediction markets are speculative, liquidity may be limited, prices may be volatile, and you may lose your entire position.
- Oracle risk: External data sources may fail or be manipulated.
- Network risk: Blockchain network congestion or failures.
- Stablecoin depegging: Stablecoins used in the Protocol may lose their peg.
- Regulatory changes: The regulatory environment for prediction markets, event contracts, digital assets, and blockchain software is evolving and may affect your ability to access or use the Services or Protocol.
- Unclaimed funds and settlement deadlines: The Protocol defines settlement and close-out timelines for each market. If you do not cancel unfilled orders or claim winnings, refunds, and other balances within the windows defined by smart contract logic (currently seven days after a market resolves), any remaining unclaimed balances associated with that market may be permanently swept when the market is closed and will no longer be recoverable. You are solely responsible for monitoring your positions and claiming in time.
Do not use the Services or Protocol with funds you cannot afford to lose.
10. Prohibited Activities
You agree not to:
- Manipulate markets or engage in wash trading.
- Exploit software vulnerabilities, oracle issues, or infrastructure failures for personal gain.
- Circumvent geographic or access restrictions.
- Use bots, scraping, spam, denial-of-service attacks, or automated tools to disrupt the Services, Protocol, or other users.
- Use the Services or Protocol for fraud, money laundering, sanctions evasion, terrorist financing, market abuse, harassment, or any unlawful purpose.
11. Intellectual Property
The Protocol smart contracts are open source under the Business Source License 1.1. The Services, interface, branding, logos, design, text, graphics, and other content are owned by the Company, Palominito Technologies LLC, or their licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of proprietary parts of the Services except as permitted by law or written permission.
12. No Guarantees
The Services, Protocol information, market data, software, and content are provided "as is" and "as available." The Company disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, and error-free performance. Market data, odds, prices, and other information may be delayed, incomplete, inaccurate, or unavailable.
13. Limitation of Liability
To the maximum extent permitted by law, the Company, Palominito Technologies LLC, and their respective affiliates, officers, directors, employees, contractors, and agents shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, lost profits, lost data, loss of goodwill, trading losses, token losses, smart contract failures, blockchain failures, oracle failures, unauthorized wallet access, or third-party conduct. In no event shall aggregate liability exceed one hundred U.S. dollars ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company, Palominito Technologies LLC, and their respective affiliates, officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services or Protocol, your wallet or transactions, your content or communications, your violation of these Terms, or your violation of any applicable law or third-party right.
15. Dispute Resolution
These Terms shall be governed by the laws of the Republic of Panama. Any dispute shall be resolved through binding arbitration on an individual basis. Class actions and class arbitrations are not permitted. Before initiating arbitration, you agree to attempt informal resolution by contacting admin@palominito.com for a period of 30 days.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any policies or notices incorporated by reference, constitute the entire agreement between you and the Company regarding the Services and supersede prior or contemporaneous understandings.
18. Modifications
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
